1. Introduction & Acceptance
Welcome to Yup! Events. These Terms of Use ("Terms") govern your access to and use of the Yup! Events platform, including all features, services, and content provided through our website and application.
By creating an account or using Yup! Events, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Platform.
You must be at least 18 years of age to use Yup! Events. By using the Platform, you represent that you are at least 18 years old.
Yup! Events is operated by Evental, Lda, a company registered in Portugal. For questions about these Terms, contact us at support@evental.app.
2. Definitions
In these Terms, the following definitions apply:
- "Platform" means the Yup! Events web application and all related services
- "User" means any individual who creates an account on the Platform
- "Organizer" means a User who creates and manages events on the Platform
- "Participant" means an Organization invited to participate in an event (including vendors, sponsors, performers, and other roles)
- "Organization" means a business entity registered on the Platform, either by its owner or by an Organizer on its behalf
- "Event" means any event created and managed through the Platform
- "Content" means any data, text, images, files, or other materials uploaded to or created on the Platform
- "Services" means all features and functionality provided by the Platform
- "Subscription" means a paid plan that provides access to premium features of the Platform
3. Account Registration & Security
To use Yup! Events, you must create an account. When registering, you agree to:
- Provide accurate, current, and complete information
- Maintain and update your information to keep it accurate
- Maintain the security of your password and account credentials
- Accept responsibility for all activities that occur under your account
- Notify us immediately of any unauthorized use of your account
You may not create multiple accounts for the same person. We reserve the right to suspend or terminate accounts that violate these Terms, contain false information, or are used for unauthorized purposes.
4. Subscription Plans & Payment
Yup! Events offers subscription plans with different feature levels:
- Free tier: Basic event management features with usage limits
- Pro tier: Advanced features including unlimited events and participants
- Enterprise tier: Custom solutions with dedicated support and SLA guarantees
Billing & Payment
- Subscription fees are billed in advance on a recurring basis through Stripe
- Subscriptions automatically renew at the end of each billing period unless cancelled
- You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period
- No refunds are provided for partial billing periods, unless required by applicable law
- We may change subscription prices with at least 30 days' advance notice. Price changes apply at the next billing cycle after the notice period
5. Use of the Platform
Permitted Uses
You may use Yup! Events for:
- Creating and managing events
- Inviting and coordinating participants (vendors, sponsors, performers, etc.)
- Tracking financial transactions and managing settlements
- Communicating with participants through the Platform
- Managing your organization and team members
Prohibited Uses
You may not use Yup! Events to:
- Organize or promote illegal activities or events
- Commit fraud, misrepresent your identity, or deceive other users
- Scrape, crawl, or use automated means to access the Platform without our permission
- Reverse engineer, decompile, or attempt to extract the source code of the Platform
- Resell or redistribute access to the Platform without authorization
- Send unsolicited communications (spam) through the Platform
- Upload malicious software, viruses, or any code designed to disrupt the Platform
- Interfere with the security or proper functioning of the Platform
- Violate the rights of other users or third parties
6. User Content & Intellectual Property
Your Content
You retain full ownership of all Content you upload to or create on the Platform. By using Yup! Events, you grant us a limited, non-exclusive, royalty-free license solely to:
- Display your Content within the Platform as necessary to provide the Services
- Store and process your Content on our servers
- Transmit your Content to other authorized users (e.g., sharing event details with invited participants)
- Create backups of your Content for data protection purposes
This license exists solely for the purpose of operating and providing the Platform. We do not claim any ownership rights over your Content, and we will not use your Content for promotional or marketing purposes without your explicit consent.
Our Intellectual Property
The Yup! Events platform, including its design, code, branding, logos, and documentation, is the intellectual property of Yup! Events and its licensors. You may not copy, modify, distribute, or reverse engineer any part of the Platform without our written permission.
7. Event Organizer Responsibilities
If you use Yup! Events as an event organizer, you are solely responsible for:
- The planning, organization, and execution of your events
- All relationships with participants (vendors, sponsors, performers, and others)
- Compliance with all applicable laws and regulations, including obtaining necessary permits, licenses, and insurance
- All tax obligations related to your events and financial transactions
- The accuracy and completeness of event information published on the Platform
- Setting fair and transparent fee structures and commission rates
- Handling participant disputes, complaints, and refund requests
Yup! Events provides tools to help you manage your events. We do not endorse, guarantee, or assume responsibility for any event or the actions of any participant.
8. Participant Responsibilities
If you participate in events through Yup! Events, you are responsible for:
- Providing accurate and complete organization information
- Fulfilling all compliance requirements set by the event organizer
- Timely payment of any participation fees or other agreed charges
- Honoring accepted invitations and commitments
- Complying with event rules, schedules, and guidelines set by the organizer
- Maintaining appropriate insurance and permits for your activities
9. Financial Terms
The following financial terms apply to the use of the Platform:
- Payment processing: All payments are processed securely through Stripe. By making payments through the Platform, you also agree to Stripe's Terms of Service
- Participation fees: Event organizers may set participation fees for their events. These fees are determined solely by the organizer, not by Yup! Events
- Commission structures: Organizers may configure commission structures for event participants. Yup! Events provides the tools to calculate and track commissions but is not a party to these financial arrangements
- Disputes between users: Yup! Events is not responsible for payment disputes between organizers and participants. Such disputes must be resolved directly between the parties involved
- Refund policies: Refund policies for participation fees and event-related charges are determined by the event organizer, not by Yup! Events
Yup! Events acts solely as a platform facilitating financial transactions between users. We are not a party to any financial agreement between organizers and participants.
10. Platform Availability & Modifications
We strive to keep Yup! Events available and reliable, but we cannot guarantee uninterrupted access:
- Service modifications: We may modify, update, or discontinue features of the Platform at any time. We will provide reasonable notice for significant changes
- Maintenance: Scheduled maintenance may temporarily affect Platform availability. We will endeavor to schedule maintenance during low-usage periods
- No uptime guarantee: Unless otherwise agreed in a separate Enterprise service agreement, we do not guarantee any specific level of uptime or availability
- Third-party dependencies: The Platform relies on third-party services (including Stripe for payments and cloud hosting providers). We are not responsible for disruptions caused by these third-party services
11. Limitation of Liability
Yup! Events is a platform tool that facilitates event management. We are not a party to any relationship between event organizers and participants.
To the maximum extent permitted by applicable law:
- The Platform is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied
- We do not warrant that the Platform will be uninterrupted, error-free, or secure
- We are not liable for any event outcomes, participant no-shows, quality of services provided by participants, or disputes between users
- We are not liable for any losses arising from payment disputes between organizers and participants
- We are not liable for any indirect, incidental, special, consequential, or punitive damages
- Our total aggregate liability to you for any claims arising from or related to these Terms or the Platform shall not exceed the total fees you have paid to Yup! Events in the twelve (12) months preceding the claim
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence or for fraud.
12. Termination
- Termination by you: You may close your account at any time through your account settings or by contacting us. Upon closure, your access to the Platform will cease
- Termination by us: We may suspend or terminate your account if you violate these Terms, with prior notice where practicable. In cases of serious violations (fraud, illegal activity, security threats), we may terminate immediately
- Data retention: Upon account termination, your data will be handled in accordance with our Privacy Policy. We retain certain data as required by law
- Data export: You will have a 30-day window after termination to request an export of your data
- Survival: Sections regarding intellectual property, limitation of liability, and general provisions survive termination of these Terms
13. General Provisions
The following general provisions apply to these Terms:
- Governing law: These Terms are governed by and construed in accordance with Portuguese law
- Dispute resolution: In the event of a dispute, the parties agree to submit to the Conciliation and Arbitration rules of the Arbitral Tribunal operating in the judicial district of Coimbra, Portugal
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect
- No waiver: Failure to enforce any provision of these Terms does not constitute a waiver of that provision
- Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Yup! Events regarding use of the Platform
- Assignment: We may assign our rights and obligations under these Terms without your consent. You may not assign your rights without our written consent
- Force majeure: We shall not be liable for any failure to perform due to circumstances beyond our reasonable control, including natural disasters, acts of government, or internet service disruptions
Changes to These Terms
We may update these Terms from time to time. We will notify you of significant changes by:
- Sending an email notification to your registered email address at least 30 days before changes take effect
- Displaying a prominent notice on the Platform
- Posting the updated Terms on this page with a new "Last Updated" date
Continued use of Yup! Events after the effective date of changes constitutes acceptance of the updated Terms.
